1. Acceptance of Terms

By accessing or using the BookOfBusiness.ai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

BookOfBusiness.ai provides an AI-powered business management platform for home service contractors, including:

• AI voice agents for handling inbound calls
• Lead management and CRM functionality
• Automated research and competitive intelligence
• AI-powered lead scoring (ICP scoring)
• Calendar integration and appointment scheduling
• Email and SMS communication tools
• Chat widgets for website lead capture

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activities under your account.

4. Subscription & Billing

Access to certain features requires a paid subscription. Subscriptions are billed through Stripe on a recurring basis (monthly or annually). You may cancel your subscription at any time through your account settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period.

Usage-based charges (such as call minutes, SMS messages, and AI tokens) are metered and billed in addition to your base subscription.

5. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to process Your Data solely for the purpose of providing the Service. We will not sell, rent, or share Your Data with third parties except as described in our Privacy Policy.

You are responsible for ensuring you have the necessary rights and consents to submit data to our platform, including data about your customers and contacts.

6. AI-Generated Content

The Service uses artificial intelligence to generate content including call transcripts, lead summaries, research reports, draft communications, and lead scores. AI-generated content is provided "as is" and may contain errors or inaccuracies. You are responsible for reviewing AI-generated content before acting on it.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Violate telemarketing or spam laws (TCPA, CAN-SPAM, etc.)
• Attempt to gain unauthorized access to other users' data
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service
• Impersonate another person or entity
• Upload malicious content or attempt to compromise platform security

8. Multi-Tenancy & Data Isolation

The Service operates in a multi-tenant environment. Your data is logically isolated from other customers' data at the database level. You must not attempt to access, modify, or delete data belonging to other tenants.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKOFBUSINESS.AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless BookOfBusiness.ai Inc. from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

12. Termination

Either party may terminate the relationship at any time. You may cancel your account through account settings or by contacting us. We may suspend or terminate your access if you violate these Terms.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow data export, after which it will be deleted in accordance with our Privacy Policy.

13. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or by prominently posting a notice on the platform. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in San Diego County, California.
